1. Acceptance of Terms

Welcome to Apex Academy! By accessing or using our website, apexacademy.ca, and any related services, including online courses, learning materials, and community forums (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, please do not access or use our Services.

2. Account Registration

To access certain features of the Services, you may be required to register for an account. 3. Course Enrollment and Payment

Enrollment in Apex Academy courses is subject to availability and payment of applicable fees. Course fees are listed on our website and are subject to change. Payment may be made via accepted payment methods. Upon successful payment, you will be granted access to the enrolled course content.

4. Intellectual Property

All content included as part of the Services, such as text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Apex Academy or its licensors and is protected by copyright laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the content without our prior written consent.

5. User Conduct

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited conduct includes, but is not limited to:

  1. Posting or transmitting any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable content.

  5. Engaging in any activity that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.

6. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Apex Academy does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

7. Limitation of Liability

In no event shall Apex Academy, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Apex Academy has been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Apex Academy, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Modifications to Terms

Apex Academy reserves the right to modify these Terms at any time. We will post any changes to these Terms on our website and will indicate the date these Terms were last revised. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles.

12. Termination

Apex Academy may terminate your access to the Services, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Entire Agreement

These Terms constitute the entire agreement between you and Apex Academy concerning the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Apex Academy with respect to the Services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

15. Assignment

You may not assign or transfer these Terms, in whole or in part, without Apex Academy's prior written consent. Apex Academy may assign these Terms at any time without notice.

16. Waiver

The failure of Apex Academy to enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by Apex Academy in writing.
